Please read these Terms and Conditions ("Terms") carefully before using https://delfy.dev (the "Service") operated by Delfy.dev ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

Delfy.dev provides a Next.js SaaS boilerplate with integrated payments, authentication, and additional tools designed to help developers and entrepreneurs ship products faster. We may also offer access to a private community and educational resources ("Builders Academy").

2. License and Ownership

2.1 Upon purchase, you receive a non-exclusive, non-transferable license to use, modify, and deploy the provided source code for your own projects (personal or commercial).

2.2 You may not resell, redistribute, sublicense, or share the source code (in whole or in part) as a standalone product, template, or boilerplate.

2.3 You retain full ownership of any applications, products, or services you build using the code.

2.4 We retain ownership of the original source code, brand, documentation, and all related intellectual property.

3. Payment and Pricing

3.1 All prices are listed in USD and are inclusive of applicable taxes unless otherwise stated.

3.2 Payments are processed securely via Stripe. We do not store credit card details.

3.3 Prices may change at any time without prior notice. Existing purchases are not affected by price changes.

4. Refund Policy

4.1 We offer a full refund within 7 days of purchase, no questions asked.

4.2 To request a refund, contact us at meak@meakcodes.com. Refunds are processed to the original payment method within 5–10 business days.

4.3 After the 7-day window, refunds are granted at our sole discretion.

5. Account and Access

5.1 You are responsible for maintaining the confidentiality of your account credentials.

5.2 You agree not to share your account or access credentials with third parties.

5.3 We reserve the right to suspend or terminate accounts that violate these Terms.

6. Community and Educational Content

6.1 Access to the Builders Academy (if purchased) is personal and non-transferable.

6.2 Content provided in the community is for educational purposes only and does not constitute professional business, legal, or financial advice.

6.3 We reserve the right to moderate, remove, or restrict community content or members at our discretion.

7. Acceptable Use

You agree not to:
• Use the Service for any unlawful purpose
• Attempt to reverse-engineer, decompile, or extract the source code beyond what is provided
• Interfere with or disrupt the Service or its infrastructure
• Misrepresent your identity or affiliation

8. Limitation of Liability

8.1 The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

8.2 To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

8.3 Our total liability for any claim related to the Service shall not exceed the amount you paid for the product.

9. Indemnification

You agree to indemnify and hold harmless Delfy.dev, its owners, employees, and affiliates from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, available at https://delfy.dev/privacy-policy.

11. Third-Party Services

The Service integrates with third-party providers (Stripe, Supabase, Resend, etc.). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party service availability or conduct.

12. Governing Law and Disputes

12.1 These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany.

12.2 Any disputes arising from these Terms shall be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to the competent courts in Germany.

13. Modifications

We reserve the right to update these Terms at any time. Material changes will be communicated via email or a notice on the Service. Continued use after modifications constitutes acceptance of the updated Terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
